Board of Directors Responsibilities & Expectations

Thank you for considering serving on the Board of Directors for The Coco Project. Board members play a

vital role in advancing our mission to support families impacted by medical complexity and

traumatic grief. Through leadership, advocacy, stewardship, and service, board members help

ensure the organization's sustainability and impact.

Fiduciary Responsibilities

Board members are expected to:

  • Uphold the mission, vision, and values of The Coco Project.

  • Act in the best interests of the organization.

  • Exercise sound judgment and responsible oversight of organizational finances.

  • Review and approve annual budgets, strategic plans, and major organizational decisions.

  • Maintain confidentiality regarding board discussions and sensitive information.

  • Comply with all applicable nonprofit laws, regulations, and governance policies.

Meeting Attendance & Participation

Board members are expected to:

  • Attend at least 3 board meetings per calendar year (February, June, October).

  • Participate actively in discussions and decision-making.

  • Review meeting materials in advance.

  • Serve on at least one board committee.

  • Notify the Board Chair in advance if unable to attend a meeting.

Fundraising & Financial Support

The Coco Project is a working board, meaning every board member contributes to the organization's fundraising efforts.

Board members are expected to:

  • Raise or contribute a minimum of $2,500 annually through personal giving,

  • sponsorships, donor cultivation, fundraising activities, grants, or other approved methods.

  • Help identify and connect potential donors, sponsors, partners, and community supporters.

  • Participate in fundraising campaigns and events throughout the year.

  • Serve as ambassadors for the organization within their networks and communities.

Committee Service

Board members will serve on at least one committee:

Operations & Finance

  • Financial oversight

  • Budget review

  • Governance and policy development

  • Strategic planning support

Outreach & Marketing

  • Community engagement

  • Communications strategy

  • Social media advocacy

  • Partnership development

Events & Fundraising

  • Event planning and execution

  • Sponsorship development

  • Donor stewardship

  • Volunteer engagement

Event Participation

Board members are expected to:

  • Attend and support major organizational events whenever possible.

  • Volunteer at or assist with at least two organizational events annually.

  • Help recruit attendees, sponsors, donors, and volunteers for events.

Advocacy & Ambassadorship

Board members serve as representatives of The Coco Project and are expected to:

  • Promote awareness of the organization's mission and programs.

  • Share organizational updates and opportunities within their personal and professional networks.

  • Invite others to engage with, volunteer for, or support The Coco Project.

  • Demonstrate professionalism and integrity when representing the organization.

Term of Service

Board members serve a term of 3 years and may be eligible for reappointment according to the organization's bylaws.
